All courses, studios, equipment and materials are owned, created, operated and/or managed by Sol Passion Music Limited (“Sol Passion Music”), a company registered in Hong Kong, with its trading address at 4F Tung Kin Factory Building, 200-202 Tsat Tsz Mui Rd, Quarry Bay, Hong Kong. This Agreement is between Sol Passion Music and you (“you” or the “Student”). If you are under 18 years old you will need the permission of your parent/guardian to enter into this Agreement and/or register for Sol Passion Music courses.

COURSE DISCLAIMER
Sol Passion Music may at any time assign, transfer, charge, subcontract or deal in any other manner with all or any of its rights under the Agreement and may subcontract or delegate in any manner any or all of its obligations under the Agreement to any third party.
If a court or any other competent authority finds that any provision of the Agreement (or part of any provision) is invalid, illegal or unenforceable, that provision or part-provision shall, to the extent required, be deemed deleted, and the validity and enforceability of the other provisions of the Agreement shall not be affected.
A person who is not a party to this Agreement shall not have any rights under or in connection with it.
This Agreement constitutes the entire agreement between the parties on the subject matter hereof.
FEES & ATTENDANCE
Course Fees paid by courses are non-transferable and abide by our own Cancellation & Refund Policy. Should there be any dispute, the language in our policy shall prevail. It can be found here. It is not normal policy for Sol Passion Music to initiate courses until full payment has been received.
It is the students’ responsibility to be on time and attend all scheduled sessions at Sol Passion Music. If the student is late, the teacher is not obligated to make up the extra time. Absence from a booked or otherwise scheduled session (or the number of sessions) will not give rise to any right of rescheduling or refund. If you are unable to attend a session for any reason, please let us know as far as possible in advance and if practicable we will use reasonable endeavours to provide to you the missed information.
LOCATION OF COURSES
Sol Passion Music courses are delivered in the Sol Passion Music Studio, 4F Tung Kin Factory Building, 200-202 Tsat Tsz Mui Rd, Quarry Bay, Hong Kong, unless specifically stated otherwise (e.g. recording and mastering studios, visits offsite to places of interest, live sound venues etc). Please refer to individual course details on the website at the time of booking and ensure you confirm again shortly before the start of your course. Students must ensure that they have confirmed the location of their course in advance.
STUDIO ACCESS
All premises are no smoking, and only students who are enrolled in a class are to be present to practice (Parents/Guardians excepted for students 16 and under at the request of the Parent/Guardian).
Any extra time required in the studios for practising purposes will always be confirmed by the General Manager of Sol Passion Music prior to completion, either as per a recommendation by the Students’ teacher or through the hiring of the room/equipment.
USE OF SOL PASSION MUSIC EQUIPMENT
Each student is responsible for ensuring that no Sol Passion Music equipment or property is damaged, lost or stolen as a direct or indirect result of their own action or failure to act appropriately. Each student is also responsible for the actions and omissions of any guests they invite on to the Sol Passion Music premises. In the event that any Sol Passion Music equipment or property is damaged, lost or stolen as a direct or indirect result of negligent action or failure to act appropriately by any student or guest, the student agrees to pay all reasonable costs in full (including without limitation for replacement or reparation) and Sol Passion Music has the right to terminate their enrollment without refunds.
For the avoidance of doubt, no Sol Passion Music property may be removed from the premises without the express prior consent of Sol Passion Music in every case. Students are entitled to hire equipment and studios, the cost and availability of which is available through Sol Passion Music. Any suspicion of vandalism or theft shall be referred to the Police, under the decision of Sol Passion Music in which any information, including prior and present details of the student/s in question, shall be disclosed.
STUDENT CONDUCT
Audio and Video recording, or still photography is not permitted in any of the school premises unless agreed upon prior by Sol Passion Music staff.
Sol Passion Music reserves the right to suspend or expel any student deemed (by Sol Passion Music in its sole discretion) to be unsuitable and/or unacceptable through the students’ (or, where relevant, the student’s guests) conduct or attitude. In such cases, the student/s will not be entitled to any form of partial or full refund for lessons missed.
You may be required to verify your identification upon entry.
INTELLECTUAL PROPERTY
All intellectual property rights (including without limitation registered design, curriculum, teaching methods, copyright, database right, trade marks, application to register any of the aforementioned rights, trade secrets and/or know how) in Sol Passion Music materials and courses described in this brochure are and shall remain the exclusive property of Sol Passion Music or its licensors. Sol Passion Music shall also own all intellectual property rights arising in the parts of recordings and writings made or written by Sol Passion Music employees during the teaching of courses where Sol Passion Music and its employees have had input into the composition and/or recording and/or production of said works. Any unauthorised reproduction, dissemination, broadcast or other use of such Sol Passion Music owned or controlled recordings and/or writings is prohibited and shall constitute a breach of this Agreement and an infringement of copyright. From time to time, Sol Passion Music may offer to certain students Publishing and/or Production licensing and/or administration arrangements, with the express intent of exploiting songs and/or recordings presented by the student to Sol Passion Music. All such arrangements shall be subject to the terms offered in each case.
COURSE TIMETABLE
Sol Passion Music reserves the right to change the dates, times, prices and contents of the courses without notice. Classes may be filmed for internal use and students consent to this.
SPECIAL NEEDS
Please inform us of any special physical or medical requirements you may have prior to payment, in order for us to try to meet them as far as practicable.
LIMITATION OF LIABILITY
Sol Passion Music’s liability to you hereunder shall be limited to the total amount you have actually paid to Sol Passion Music for the applicable course. Except as set out herein, Sol Passion Music shall under no circumstances be liable to you, whether in contract, tort or otherwise, for any indirect or consequential loss arising hereunder or in connection with the courses provided by Sol Passion Music. Nothing in this Agreement shall operate to limit or exclude liability for death or personal injury caused by negligence. For the avoidance of doubt, Sol Passion Music shall not be liable for any loss or termination hereunder resulting from or arising in connection with any student visa status or other reason related to immigration matters. Sol Passion Music:
- accepts no responsibility for loss, damage or theft of personal belongings;
- reserves the right to alter advertised instructors at any time;
- reserves the right to cancel courses at any time and/or to transfer bookings to rescheduled dates (though Students unable to attend rescheduled dates may be entitled to some refund or other credit in some cases);
- reserves the right to vary the course materials without notice and/or to refuse any application or request for a course booking without giving a reason;
- accepts no responsibility for the quality of services or products provided or offered by third party advertisers and/or vendors (and any inclusion in course materials or other presence during a course does not constitute a recommendation or endorsement by Sol Passion Music).
FORCE MAJEURE
For the purposes of this Agreement, “Force Majeure Event” means any event beyond the reasonable control of Sol Passion Music including without limitation strikes, lock-outs or other industrial disputes, failure of a utility service or transport network, act of God, war, riot, civil commotion, malicious damage, compliance with any law or governmental order, rule, regulation or direction, including governmental visa status, accident, breakdown of plant or machinery, fire, flood, storm or default of suppliers or subcontractors. Sol Passion Music shall not be liable hereunder as a result of any delay or failure to perform its obligations as a result of a Force Majeure Event. If the Force Majeure Event prevents Sol Passion Music from providing any of the Services and/or Goods for more than four (4) weeks, Sol Passion Music shall, without limiting its other rights or remedies, have the right to terminate this Agreement by written notice.
COMPLAINTS
If you should ever have any complaint(s), please speak to any member of staff and we will do our best to resolve the matter. If this does not resolve the issue, please contact the General Manager at the address above in writing and he will look into the matter for you.
LAW AND JURISDICTION
These terms and conditions shall be governed by and constructed in accordance with the Laws of the Hong Kong Special Administrative Region of the People’s Republic of China.
If you do not accept these Terms, you must immediately terminate the use of this Site and the Content.
